Terms and Conditions

These Terms and Conditions (“Agreement”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Elevate Baby, LLC (“Elevate Baby,” “we,” “us,” or “our”), a limited liability company organized under the laws of the State of Nevada. By accessing or using our website, services, or entering into any engagement with Elevate Baby, including but not limited to applying as or engaging with egg donors, sperm donors, surrogates, or intended parents (collectively, “Users”), you acknowledge that you have read, understood, and agreed to be bound by this Agreement. If you do not agree to these terms, you must not use our services.

Entire Agreement

These Terms and Conditions, along with any additional contracts or waivers signed by the parties, constitute the entire agreement between you and Elevate Baby and supersede any prior or contemporaneous communications.

Scope of Services

Elevate Baby provides third-party reproduction coordination services, including—but not limited to—matching and representing qualified egg donors, sperm donors, and gestational carriers (collectively, “Donors and Surrogates”), and providing support and facilitation services to individuals and couples seeking to build families (“Intended Parents”).
Elevate Baby is not a medical provider, fertility clinic, legal firm, or licensed psychological counselor. We do not provide medical advice, medical screening, or legal counsel, and any decisions made by you are solely your responsibility.

Eligibility

You must be at least 18 years of age (or the legal age of majority in your jurisdiction) and legally able to enter into a binding agreement. Donors and Surrogates must meet our strict qualification criteria and provide truthful, complete, and accurate information at all times.
Misrepresentation or falsification of information will result in immediate termination of engagement and may result in legal action.

Confidentiality and Non-Disclosure

All parties agree to maintain the confidentiality of all proprietary information, personal medical data, and private communications exchanged through our services. You may not disclose any personal information related to any other party without express written permission.
Any breach of confidentiality is grounds for immediate removal from the Elevate Baby program and may expose you to civil liability.

No Guarantee

Elevate Baby makes no guarantee regarding outcomes, timelines, matching, or successful conception or birth. Use of our services is at your own risk.
We reserve the right to reject, remove, or suspend any User from participation in our program at our sole discretion, without explanation.

User Conduct

You agree not to:
Provide false, misleading, or incomplete information.
Circumvent Elevate Baby or attempt to make arrangements directly with another party met through Elevate Baby without express written consent.
Harass, exploit, or endanger any party involved in the process.
Violate any laws, regulations, or ethical standards applicable to fertility arrangements.
Violations of this section may result in legal action and financial liability for damages, including but not limited to administrative costs, legal fees, and lost revenue.

Fees and Payments

All fees, deposits, and payments are non-refundable unless explicitly stated otherwise in a written agreement signed by both parties. Intended Parents must remit all payments as outlined in their contract. Elevate Baby reserves the right to withhold services or terminate agreements for non-payment or breach.

Limitation of Liability

To the maximum extent permitted by law, Elevate Baby, LLC shall not be liable for any direct, indirect, incidental, punitive, or consequential damages arising out of or related to this Agreement, including but not limited to failed matches, failed transfers, medical complications, emotional distress, or legal disputes between Users.

Indemnification

You agree to indemnify, defend, and hold harmless Elevate Baby, LLC and its officers, directors, employees, agents, successors, and assigns from and against any claims, demands, losses, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of our services or breach of this Agreement.

Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada], without regard to its conflict of laws principles. Any dispute shall be resolved exclusively through binding arbitration in Clark County, Nevada], pursuant to the rules of the American Arbitration Association.

Modifications

Elevate Baby reserves the right to modify, update, or revise these Terms and Conditions at any time, with or without notice. Your continued use of our services after changes constitutes your acceptance of the new terms.
